1. User Representations and Warranties
By accessing or using the Site, you represent and warrant that:

- You have the legal capacity to enter into these Terms
- Any information you provide to us (such as your email address for our newsletter) is accurate, current, and complete
- You will not use the Site for any purpose that is unlawful or prohibited by these Terms

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENTURE PANDA LLC (D/B/A THE MONEY FRIEND), ITS OWNERS, OPERATORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, INCLUDING BUT NOT LIMITED TO: FINANCIAL LOSSES RESULTING FROM DECISIONS MADE BASED ON OUR CONTENT, CALCULATOR RESULTS, OR PRODUCT RECOMMENDATIONS; LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES; DAMAGES ARISING FROM THIRD-PARTY PRODUCTS OR SERVICES ACCESSED THROUGH OUR SITE; DAMAGES FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; AND PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless Venture Panda LLC (d/b/a The Money Friend), its owners, operators, members, managers, and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you submit or transmit through the Site.
12. Dispute Resolution and Binding Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
12a. Informal Resolution Period
Before initiating any formal dispute resolution, you and Venture Panda LLC agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site ("Dispute") informally. The party raising the Dispute must send a written notice describing the nature of the Dispute and the relief sought to the other party. For notices to us, send to: legal@themoneyfriend.com. Both parties agree to negotiate in good faith for at least sixty (60) days from the date the notice is received. If the Dispute cannot be resolved informally within this period, either party may proceed to arbitration as described below.
12b. Mandatory Binding Individual Arbitration
If a Dispute cannot be resolved informally, you and Venture Panda LLC agree that any Dispute shall be resolved exclusively through final and binding individual arbitration, rather than in court. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. If the AAA is unavailable or unable to administer the arbitration, the parties shall agree on an alternative arbitration provider, or a court of competent jurisdiction shall appoint one.
The arbitration shall be conducted by a single arbitrator. The arbitrator shall have exclusive authority to resolve all Disputes, including the scope, enforceability, and arbitrability of these Terms. The arbitration shall be conducted in the English language and shall take place in New York County, New York, unless the parties mutually agree to a different location or to virtual proceedings.
For Disputes involving $10,000 or less, the arbitration shall be conducted solely on the basis of written submissions (documents only, no hearing), unless the arbitrator determines that a hearing is necessary. For Disputes involving more than $10,000, either party may request a hearing, which may be conducted by phone, video conference, or in person as determined by the arbitrator.
Payment of arbitration fees shall be governed by the AAA's Consumer Arbitration Rules. If the arbitrator finds that either the substance of your claim or the relief sought is frivolous or brought for an improper purpose, then the payment of all fees will be governed by the AAA's standard rules.
12c. Class Action and Jury Trial Waiver
YOU AND VENTURE PANDA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. BY AGREEING TO THESE TERMS, YOU AND VENTURE PANDA LLC EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
12d. Mass Arbitration Protocol
If twenty-five (25) or more similar arbitration demands are filed against the same party by the same or coordinated counsel within a sixty (60) day period ("Mass Filing"), the following procedures apply: the claims shall be organized into batches of no more than fifty (50) claims each. A single arbitrator shall be appointed for each batch. Only one batch shall proceed at a time, and the resolution of each batch shall inform settlement discussions for remaining batches. The parties shall cooperate in good faith to resolve remaining batches efficiently. Fees for each batch shall be governed by the AAA's Consumer Arbitration Rules.
12e. Small Claims Court Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of that court. If the Dispute is removed or appealed from small claims court to a court of general jurisdiction, the arbitration agreement shall apply.
12f. Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@themoneyfriend.com within thirty (30) days of your first use of the Site after this provision takes effect. Your opt-out notice must include your full name, mailing address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you may pursue Disputes in court, but the class action waiver in Section 12c shall remain in effect to the fullest extent permitted by law.
13. Statute of Limitations
You agree that any claim or cause of action arising out of or related to your use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred. This shortened limitations period applies regardless of the nature of the claim or the legal theory on which it is based, except where a shorter limitations period is provided by applicable law that cannot be waived. This limitations period applies to the fullest extent permitted by law.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. For any Dispute not subject to arbitration (including actions to enforce an arbitration award), you consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.
15. State-Specific Provisions
New Jersey Residents
If you are a New Jersey resident, the following applies: notwithstanding any provision in these Terms to the contrary, the limitation of liability, disclaimer of warranties, indemnification, and arbitration provisions of these Terms do not limit any rights you may have under the New Jersey Consumer Fraud Act, the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act, or other applicable New Jersey consumer protection laws that cannot be waived by agreement. Nothing in these Terms is intended to limit your rights under New Jersey law to the extent such limitation is prohibited.
California Residents
If you are a California resident, in accordance with California Civil Code Section 1789.3, you may file a complaint with the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210.
16. Modifications to These Terms
We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide prominent notice on the Site or, where possible, notify registered users by email. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. If the class action waiver in Section 12c is found to be unenforceable with respect to a particular claim, then the entirety of the arbitration agreement in Section 12 shall be null and void with respect to that claim only.
18. Entire Agreement
These Terms, together with our Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and The Money Friend regarding your use of the Site. These Terms supersede all prior agreements, communications, and understandings, whether written or oral, regarding the Site.
